SEARCH ENGINE OPTIMISATION (SEO)

1. Upon your request, we agree to optimise your Website in accordance with the Proposal.
2. Clickmatix and its search engine optimisation service provides no guarantee of any nature to the client with respect to search engine rankings, positioning and the resultant demand for, or sales of, the client's products or services. Further, you acknowledge that SEO is governed by many factors which are outside our direct control and may affect the ranking of the website / overall performance of SEO. For example:
   1. if your website has poor or duplicate content;
   2. if your website is on an SEO unfriendly content management system (CMS);
   3. if we cannot get access to your hosting and or CMS;
   4. if your website is suffering from a penalty, either automatic or manual from Google;
   5. if your website has an unnatural link profile; or
   6. if your website is hosted on a slow or blacklisted server.
3. In addition, you acknowledge that Google continually updates its search algorithm, which may have a negative impact on your website rankings at any time. In such circumstances, we will endeavour to rectify any negative impact as quickly as possible but make no guarantee rankings will improve.
4. In rare circumstances, we may have to move your website to a new domain to remove a penalty and you must accept this recommendation.
Terms of Service
5. All performance estimates are not guaranteed and imply no guarantee.
6. In the event you terminate the SEO service within the minimum 12 month term, the balance of the fees for the remaining term becomes due and payable immediately.
7. You will be liable to pay all fees for the minimum term even if you terminate the service before the end of the term.
Acknowledgements
8. The parties shall agree on the key phrase or key phrases (depending on the Services that you have elected to obtain from us) in respect of which we will provide the services (as the context requires, depending on the services that you have elected to obtain from us (Agreed Key phrases).
9. You agree that we may from time to time during the service, propose changes to any website owned or operated by you in respect of which the services are being provided (Your Website), including, without limitation, to suggest adjustments to Your Website in the event that search engine algorithms change, and which we consider might assist you in improving the ranking of Your Website (Optimisation Change(s)).
10. If you agree to provide us with file transfer protocol access (FTP Access) to Your Website, we agree not to make any Optimisation Changes to Your Website, without your prior written consent to such Optimisation Changes.
11. In the event that you do not agree to provide us with FTP Access, we agree that any Optimisation Changes will be provided by us to you in writing.
12. We agree to provide you with monthly written ranking reports with respect to the Agreed Key phrases (Benchmark Report).
13. You warrant that you are entitled to market and promote the products and services which are featured on Your Website, you have obtained all approvals, licences and authorisations required to market and promote those products and services, and the content appearing on Your Website and Your Website Materials are complete, true and correct and are not misleading or deceptive.
14. The guarantee made by the Company in the (SEO Performance Guarantee) table does not apply in the following circumstances:
    1. If changes are made to the Website by other parties than the Company that adversely affect the search engine rankings of the Website (as determined by the Company).
    2. Or, if the Website is offline due to a reason not caused by the Company.
15. If the Company does not reach the stipulated guarantees/milestones at no fault of the Client (the Company has full website access and the client site has never been offline), the company shall work for free for no more than 90 days after the contract term is completed.
    1. The guarantee begins from the day the Company uploads SEO copy to the Clients website. All organic rankings (including map rankings) will contribute towards the negotiated 1st page ranking milestones. The guarantee is void if the Company's changes are overwritten or lost by the Client.
    2. This guarantee is exclusively available to new clients who have signed up after April 2023 and have specifically requested the guarantee in their original service agreement. The details of the guarantee, including the scope of work breakdown, will be outlined in the agreement.

GOOGLE ADS & FACEBOOK ADS

Achieve a 40% Increase in ROAS or we will provide a 100% refund of your entire paid media management fee for the period your ads were running.

Or

We will reduce your CPL/CPA cost by 20% or more within 90 days or less with our paid traffic strategies or we will provide a 100% refund of your entire paid media management fee for the period your ads were running.

1. To conclude, if we fail to achieve the milestone within the first 90 days of your campaign going live (with uninterrupted ad runs), you will receive a full refund of your management fee for the duration your ads were active, up to a maximum refund of 90 days of management fees. And don't worry! There are no hidden fees or deceptive practices involved! Just straightforward and transparent 100% refund.
2. Before kicking off your campaigns, we will conduct an audit to ensure your eligibility for the money-back performance guarantee. The audit will be finalised before our introduction call, unless we notify you in advance via email about a possible delay. If the audit confirms that the guarantees is not applicable and you choose to terminate the agreement, we will fully refund your management fee. However, if the guarantees are applicable, you are required to continue complying with all the terms outlined in the agreement.
3. The money-back guarantee kicks off the moment your ads go live. Therefore, the sooner you provide us with approvals for your target keywords, ad copy, or media plan, the faster we can initiate your guarantee and begin delivering results.
4. This guarantee is exclusively available to new clients who have signed up after April 2023 and have specifically requested the guarantee in their original service agreement. The details of the guarantee, including the scope of work breakdown, will be outlined in the agreement.
5. If the paid traffic campaign is paused for a duration of 7 days or longer within the 90-day timeframe, the guarantee will no longer be applicable. In such cases, the campaign will resume and continue for the minimum term specified in the agreement as per the agreed terms and conditions.
6. If we encounter difficulties making your ads go live on a specific platform due to issues related to your business (such as a previously disabled account), the money-back guarantee will become void. In such cases, the campaign will proceed as outlined in the agreement, continuing for the minimum term specified in the agreement's terms and conditions.
7. If you fail to provide evidence of your previous results achieved through Facebook or Google, the guarantees will not be applicable.
8. To qualify for the money-back guarantee, your monthly media ad spend must match or exceed the average ad spend invested during the 90-day period used to establish your CPA/CPL benchmark. However, if you decide to increase your ad spend by 10% or more, the guarantee will no longer be applicable.
9. Your media spend (the funds paid directly to platforms like Facebook or Google for displaying your ads) is not eligible for a refund. We don't receive that money, as it is paid directly to the advertising platform for ad placement and distribution purposes. The refund policy applies to our management fee only.
10. During the minimum term of your agreement, the highest level of access you will have to your campaign is "view only" access. Full admin access will be granted upon your request after the minimum term of the agreement has been completed.
11. Lastly, we are committed to doing what is fair and reasonable for you, and we expect you to do the same. We are a business afterall (just like you) and if you win, we win. If you attempt to exploit our goodwill and manipulate the system, please seek services elsewhere.
